This addendum ("Japan Addendum") is a supplementary document to the Charlla Service Standard Terms of Service v5.5 (the "Terms") operated by Catenoid Inc. (the "Company") and applies, together with the Terms, to the following Customers:
Customers located in Japan who use the Charlla Service through Catenoid Inc. (株式会社カテノイド, the "Japan Entity"); and
Customers who have entered into a service agreement directly with the Japan Entity.
In the event of a conflict between this Japan Addendum and the Terms, this Japan Addendum prevails only to the extent it expressly provides otherwise. Matters not addressed herein are governed by the Terms.
1.1 Representations and Warranties. The Company and the Customer each represent and warrant to the other that:
(1) neither itself, its officers (including executive members, directors, auditors, or equivalent), nor any person who substantially controls its management is or has ever been an organized crime group (bouryokudan), a member thereof, a quasi-member thereof, an enterprise related thereto, a corporate extortionist (sokaiya), a group engaged in criminal activity under the guise of social movements (shakai-undo-to-hyobo-goro), a crime syndicate specializing in intellectual crimes (tokushu-chino-bouryoku-shudan), or any equivalent (collectively, "Anti-Social Forces");
(2) it does not provide funding, benefits, or any other form of involvement to Anti-Social Forces;
(3) it does not utilize Anti-Social Forces; and
(4) it shall not, by itself or through a third party, make violent demands, unreasonable demands exceeding legal responsibility, use deception or coercion in connection with transactions, or engage in any equivalent conduct toward the other party.
1.2 Termination. If a party is found to have breached any of the representations and warranties in Article 1.1, the other party may immediately terminate the service agreement, in whole or in part, without prior notice and shall bear no liability for any damage incurred by the breaching party as a result of such termination.
1.3 Damages. If the agreement is terminated pursuant to Article 1.2, the breaching party shall compensate the other party for any damage incurred.
2.1 Governing Law. Notwithstanding Article 10-3 of the Terms, the service agreement between the Company (or the Japan Entity) and a Customer located in Japan who uses the Charlla Service through the Japan Entity shall be governed by the laws of Japan.
2.2 Jurisdiction. The Tokyo District Court shall have exclusive agreed jurisdiction as the court of first instance for any and all disputes arising out of or in connection with this Japan Addendum and the service agreement.
2.3 Mandatory Provisions. Where mandatory provisions of Japanese law relating to consumer protection or personal information protection provide more favorable protection than the Terms or this Japan Addendum, such mandatory provisions shall prevail.

This Japan Addendum takes effect on June 1, 2026.
